Background & History
Mitchell Weller is a Counsel at Frost Law where he focuses on business debt and insolvency, tax controversy, and corporate and transactional matters. He brings experience from the government's side of tax controversy, tax collections, and bankruptcy, plus experience as in-house general counsel and a venture-backed founder.
Mr. Weller began his legal career with the Internal Revenue Service Office of Chief Counsel in San Francisco. He litigated or resolved a high volume of matters spanning audits and collections; tax controversies before the United States Tax Court; Chapter 7, 11, and 13 bankruptcy cases for businesses across California, Hawaii, and Oregon; and large Delaware Chapter 11 cases. Mr. Weller advised counsel from the Department of Justice, the Securities and Exchange Commission, and the Financial Crimes Enforcement Network on collections and bankruptcy matters. He was a member of the specialty groups for cryptocurrency/virtual currency, collections, bankruptcy, and complex Chapter 11 proceedings. This work gave him direct insight into how the government approaches contested liabilities, administrative debt collection and workouts, and bankruptcy collections.
Mr. Weller then served as Chief Legal Officer of a financial technology company that assisted small businesses and nonprofits with Employee Retention Credit claim preparation and substantiation. Before joining Frost Law, he advised founders and investors on a broad range of matters, including corporate formations, tax-neutral conversions, executive and employee compensation, commercial and licensing contracts, and debt/equity financings. Mr. Weller also advised companies on tax-advantaged business models which reduced capital requirements and sales friction for novel products and services.
Prior to his legal career, Mr. Weller co-founded SKULLY, a venture-backed augmented-reality motorcycle helmet company. He helped raise equity and venture debt and led diligence for a proposed cross-border acquisition. After the company's insolvency, he led diligence on the sale of its assets in Chapter 7 for the senior secured lender and filed shareholder fiduciary-duty litigation on behalf of its creditors.
He earned his J.D., cum laude, from the University of Miami School of Law and externed for the Honorable A. Jay Cristol in the United States Bankruptcy Court for the Southern District of Florida. Mr. Weller is a named inventor on several published patent applications and is a United States Army veteran.
